What Renzo Finance is Renzo Finance is infrastructure and tooling that allows users to run advanced onchain yield strategies from their own self-custodial wallets ("the Services"). The Services are made available by RestakeX Ventures Ltd., with its principal place of business at Oceania Business Plaza, 21st Floor, Punta Pacifica, City of Panama, Republic of Panama, operating under the name Renzo Finance. In this disclaimer, "Renzo Finance", "we", "us", and "our" mean RestakeX Ventures Ltd. Renzo Finance provides software. It does not take custody of user assets, does not pool user funds, and does not exercise discretion over user capital. Users hold their own keys, select their own strategies and risk settings, and authorize every position themselves. ### 2. What Renzo Finance is not Renzo Finance is not a bank, broker-dealer, custodian, exchange, futures commission merchant, investment adviser, fund, asset manager, or curator. Renzo Finance does not manage assets on behalf of users, does not offer investment advice, and does not make discretionary trading decisions with user capital. Nothing in the Services or documentation constitutes investment, financial, legal, tax, or accounting advice, or a recommendation to enter into any transaction or strategy. ### 3. No guarantee of returns The Services do not guarantee any profitability, yield, return, or preservation of capital. Strategy returns depend on market conditions outside Renzo Finance’s control, including funding rates, which can be negative for extended periods. Individual periods can and do produce losses. Past or realized performance is not indicative of future results. References to strategies being "market-neutral" describe how a position is constructed. They are not a promise about outcomes and do not mean a position cannot lose value. ### 4. "As is" basis The Services are provided on an "as is" and "as available" basis without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, title, fitness for a particular purpose, and non-infringement. ### 5. Assumption of risk You assume all risks associated with using the Services and with digital assets and decentralized systems generally, including but not limited to: 1. digital assets are highly volatile; 2. using digital assets is inherently risky due to both the features of such assets and the potential unauthorized acts of third parties; 3. you may not have ready access to your assets; 4. you may lose some or all of your assets; and 5. losses may arise from incorrect information, software or network failures, corrupted wallet files, unauthorized access, errors or inaccuracies, or third- party activities. You agree that you will have no recourse against RestakeX Ventures Ltd. for any losses arising from your use of the Services. ### 6. Derivatives, leverage, and liquidation risk Certain strategies available through the Services involve perpetual futures contracts and the use of leverage. You acknowledge that: 1. Leverage magnifies losses as well as gains. Higher-leverage risk settings reduce the margin available before a position comes under pressure. 2. Positions can be liquidated. Adverse price movements may result in the forced liquidation of a position, in whole or in part, resulting in partial or total loss. Liquidation is executed by the relevant trading venue, not by Renzo Finance. 3. Hedged positions can become unhedged. Where a strategy holds offsetting positions, the loss, liquidation, or auto-deleveraging of one position may leave you holding an unhedged, directional exposure. 4. Funding rates can be negative. Strategies that derive returns from funding payments will incur costs rather than earn returns during periods of negative funding, and such periods may persist. 5. Market conditions can move faster than automated controls. Rapid price movements, price gaps, thin liquidity, or venue disruption may cause losses before any automated risk control can act. ### 7. Automated risk controls The Services may include automated monitoring and risk-management features. These features operate on a periodic basis and depend on the availability of Renzo Finance’s systems, third-party venues, and network connectivity. Automated risk controls are designed to reduce certain risks. They do not eliminate them, and no automated feature guarantees that a position will avoid loss or liquidation. Renzo Finance does not warrant that these features will operate without interruption, error, or delay, and Renzo Finance is not liable for losses resulting from their failure, delay, or unavailability. ### 8. Delegated trading authority To execute and manage strategies, the Services may require you to approve a trading key on your own account at the relevant venue, operated by Renzo Finance ("trading key"). You acknowledge that: 1. the trading key is scoped to trading actions and cannot take custody of, withdraw, or transfer your assets; 2. trading authority may be revoked by you at any time; 3. authorization may expire, and an expired or revoked authorization will prevent automated features from acting on your position; and 4. compromise, error, or malfunction affecting Renzo Finance’s systems or the trading key could result in adverse trades within the scope of that authority. ### 9. Third-party protocols, venues, and infrastructure The Services interact with third-party protocols, trading venues, bridges, and networks that Renzo Finance does not own, operate, or control, including but not limited to Hyperliquid and third-party bridging providers. You acknowledge that: 1. Renzo Finance does not control the availability, performance, pricing, mark prices, funding rates, liquidation logic, auto-deleveraging mechanisms, or risk parameters of any third-party venue; 2. outages, degraded performance, API failures, oracle failures, bridge failures, exploits, settlement issues, or governance actions at any third party may affect your position, your access to funds, and the operation of automated features; 3. your use of any third-party protocol is subject to that third party's own terms and risk disclosures, which you are responsible for reviewing; and 4. Renzo Finance assumes no liability for the acts, omissions, failures, or insolvency of any third party. ### 10. Eligibility and restricted jurisdictions Restrictions inherited from execution venues Strategies offered through the Services execute on third-party venues. Each venue sets its own eligibility rules, and those rules apply to any position opened there, whether it is opened directly or through the Services. Renzo Finance applies the eligibility restrictions of the venue on which a given strategy executes, and does not make the Services available to persons a venue would not permit to trade. Strategies that execute on Hyperliquid are therefore subject to Hyperliquid's restrictions. As at the date of this disclaimer, Hyperliquid's Terms of Use prohibit access by Restricted Persons, which include persons located in, resident in, incorporated in, or operating from the United States and its territories, Ontario (Canada), and territories subject to economic sanctions or export-control laws, as well as citizens of restricted territories regardless of their physical location. These restrictions are determined by the relevant venue, not by Renzo Finance, and may change at any time without notice to us or to you. Where the Services later support strategies executing on other venues, the eligibility restrictions of those venues will apply to those strategies on the same basis. You are responsible for reviewing the current terms of any venue on which your positions execute. Your eligibility You represent and warrant that you are not a Restricted Person under the terms of any venue on which your positions execute, that you are not located in, resident in, or accessing the Services from any restricted jurisdiction, and that you are not a person subject to sanctions administered by any relevant authority. You are solely responsible for determining whether your use of the Services is lawful in your jurisdiction, and for complying with all applicable laws, including derivatives, securities, sanctions, and tax laws. Enforcement Access to the Services is restricted by these terms rather than by technical means. Renzo Finance does not currently operate geographic blocking, and performs no check to confirm that you are eligible before you use the Services. You acknowledge that the fact you are able to access the Services does not constitute a determination by Renzo Finance that you are eligible to use them or any venue. Eligibility remains your responsibility and your representation. Renzo Finance may introduce access restrictions at any time. Attempting to circumvent restrictions imposed by any venue, or any access restriction Renzo Finance may introduce, including through the use of a virtual private network, proxy, or any other method of masking your location, is prohibited, is a breach of these terms, and is at your own risk. Renzo Finance may suspend or terminate access where it believes these terms have been breached. ### 11. Fees Use of the Services involves fees, which may include fees charged by Renzo Finance, fees charged by third-party venues, network transaction costs, and slippage. Fees are disclosed in the documentation and, where applicable, at the point of authorization. Fees reduce net returns. ### 12. Taxes You are solely responsible for determining and satisfying any tax obligations arising from your use of the Services. Renzo Finance does not provide tax advice and does not report on your behalf. ### 13. Forward-looking statements Documentation may describe products, features, or capabilities that are planned but not yet available. Such descriptions are not commitments and are subject to change or cancellation. Nothing in the documentation should be relied upon as a promise that any future product or feature will be released, or released in any particular form. ### 14. Data Renzo Finance does not collect personal data through your onchain interaction with the Services, which occurs through your public wallet address. Where you choose to give us an email address to receive product updates, we process it as described in the Privacy Policy. Any personal or other data you make available in connection with the Services may not be private or secure. Blockchain transactions are public and permanent. ### 15. Changes This disclaimer may be updated at any time.
